Non Profit Organizations
Non Profit Organizations are for the most part created to serve the public or a portion of the public. There are different types of Non-Profits such as 501(c)(3) corporations. There are critical factors when engaging with Non-Profits and certain types of non-profits. The biggest concern is maintaining the non-profit status. If the rules and regulations are not followed properly, poor decision making by the board of directors shall result in a decision which will destroy the non-profit status of the corporation.
Another concern many people are not aware of are the rules created within the Sarbanes-Oxley Act which create certain duties and standards for the board of directors. Compliance with this Act is critical in maintaining limited liability.
Directors and Officers
Several non profits are created with out the representation of an attorney to assist them in making sure that their organization's directors and officers are following the rules as well as ensuring they have procedures and processes in place to elect their directors and officers. We assist in making sure the director or officer reads and acknowledges review of the corporate documents so that they know what is required of them as well as knowing what they are permitted to do on behalf of the organization.
501(c)(3)
This is an IRS designation which allows the nonprofit organization to collect donations which are tax deductible for their contibutors. This is a statuts which nonprofits sometimes need guidance in maintaining, because this status may be revoked by the IRS if the organization does not follow the 501(c)(3) guidelines.
