There are many legal issues when deciding to franchise your business.  Having an attorney who understands franchise law and the requirements of not only the various states, but also for those of the Federal Trade Commission. 

The creation of a franchise is a process which requires intense legal drafting and review as well as obtaining regulatory compliance by those states which require registration prior to marketing the franchise within their state. 

Starting July 1, 2008, the Federal Trade Commission's new Uniform Franchise Disclosure Document regulation has become mandatory for all franchisors.  All franchise documents will require the same information and in the same format to standardize the disclosure doucments.

Franchisees

There are many legal issues involved when thinking of purchasing into a franchise system and having an attorney on your side guiding you through the process will be valuable to your business.  Just going through the UFDD (Uniform Franchise Disclosure Document) for some can sometimes be a daunting task and having an attorney to walk you through the process can allow you to make a more sound decision.

There are many requirements that franchisees need to be aware of and if you don't comply or negotiate certain terms in the contract, you may have a breach of contract issue.
